Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Voice to Notes ("the Service"), operated by smedium.ch, based in Switzerland. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Service Description

Voice to Notes is an AI-powered service that converts voice recordings into structured meeting notes. You upload or record audio, which is transcribed using speech recognition technology and then organized into structured notes using artificial intelligence. The Service is provided via a web application accessible at voicetonotes.smedium.ch.

3. Account Responsibilities

When you create an account, you agree to:

• Provide accurate and complete information during registration.
• Keep your password secure and confidential.
• Notify us immediately if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

You must be at least 16 years old to create an account and use the Service.

4. Acceptable Use

You agree not to use the Service to:

• Upload, record, or process content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Violate any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service.
• Abuse, overload, or interfere with the Service's infrastructure or APIs.
• Use the Service to process recordings without the knowledge or consent of the individuals being recorded, where such consent is required by law.
• Resell, redistribute, or sublicense access to the Service without written permission.

We reserve the right to suspend or terminate accounts that violate these terms.

5. Subscription Plans and Pricing

The Service is available under the following plans:

• Free: 30 minutes of transcription per month, standard quality, default templates, and the last 5 notes.
• Pro ($14/month): 300 minutes per month, HD transcription, custom templates, Markdown and PDF export, and unlimited note history.
• Team ($29/month): 600 pooled minutes per month for up to 5 users, shared templates, and everything included in the Pro plan.

All paid plans are billed monthly via Stripe. Prices are subject to change with 30 days' notice. Unused minutes do not roll over to the next billing period.

6. Cancellation and Refunds

You may cancel your subscription at any time through the app's settings. Upon cancellation, you will retain access to your paid plan's features until the end of your current billing period. After that, your account will revert to the Free plan.

Refunds are not provided for partial billing periods. If you believe a charge was made in error, please contact us at ramona@smedium.ch.

7. Data Ownership and Content

You retain full ownership of all content you create or upload through the Service, including voice recordings, transcripts, and structured notes. We do not claim any intellectual property rights over your content.

By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service (e.g., sending audio to transcription APIs, sending transcripts to AI structuring APIs). We do not use your content for training AI models.

8. Third-Party AI Services

The Service relies on third-party AI providers to function. Your voice recordings are processed by OpenAI or Groq (using Whisper models) for transcription. Your transcripts are processed by Anthropic (using Claude) for note structuring. These providers have their own terms of service and privacy policies. While we select providers with strong data protection practices, we cannot guarantee the conduct of third-party services.

9. Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including outages of third-party infrastructure providers. We will make reasonable efforts to notify users of planned downtime in advance.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, smedium.ch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

We do not guarantee the accuracy of transcriptions or AI-generated notes. You are responsible for reviewing and verifying all output before relying on it.

11. Account Deletion

You may delete your account at any time through the app's settings or by contacting us. When you delete your account, all your data (recordings, transcripts, notes, and personal information) will be permanently removed from our systems within 30 days. If you have an active subscription, please cancel it before deleting your account.

12. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a notice in the app at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Switzerland.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
